Timelier Terms of Service Effective Date: 01 May 2025 Welcome to Timelier! These Terms of Service (“Terms”) govern your use of the Timelier web application and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. 1. Eligibility and Account Registration To use Timelier, you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate and complete information when registering and to keep your account credentials secure. 2. Description of Service Timelier helps users connect their Outlook and Google calendars to create customized reminder rules for calendar events. Users can receive reminders via email, SMS, phone calls, or push notifications. The Service supports both personal and organizational calendars. 3. User Responsibilities You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account and all activities that occur under it. You must not:

• Violate any applicable laws or regulations
• Use the Service to send unsolicited messages
• Attempt to disrupt or compromise the integrity or security of the Service

4. Third-Party Integrations The Service requires access to your Google and/or Microsoft calendar data. You grant Timelier permission to access, store, and use this data to provide reminders. You may revoke access at any time through your third-party account settings. We are not responsible for any disruptions caused by changes in third-party APIs. If you choose to enable reminders to event invitees, Timelier will also require permissions to send emails from your connected Google or Microsoft account. 5. Subscription and Payment Terms Timelier offers free and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees and charges. Payments are processed by our third-party provider, Stripe. Unless canceled, your subscription will renew automatically. You will receive a reminder email seven (7) days prior to renewal. It is your responsibility to ensure that your email address is up to date and that emails from timelier.com are marked as “safe” or “not junk.” You can disable auto-renewal at any time by going to your settings and unchecking the “autorenew” box. Cancellation will take effect at the end of the current billing term. Refunds will only be issued in exceptional circumstances, as determined solely by Timelier Inc.

6. SMS Messaging Terms

If you opt in to receive reminders via SMS, you consent to receive text messages from Timelier at the phone number you provided. Message frequency depends on your reminder configuration. Standard message and data rates may apply. You may opt out of SMS reminders at any time by replying STOP to any message. For help, reply HELP or contact [email protected].

SMS reminders are provided for your convenience. Delivery is not guaranteed and may be subject to delays beyond our control.

7. License and Intellectual Property We grant you a limited, non-exclusive, non-transferable license to use the Service. Timelier retains all rights, title, and interest in the software, trademarks, and other content. You may not reverse-engineer or resell the Service. 8. Privacy Our Privacy Policy explains how we collect and use your data. By using the Service, you consent to our data practices. 9. Service Availability and Modifications We strive to keep the Service operational but do not guarantee uninterrupted access. We may update, suspend, or discontinue the Service at any time without notice. 10. Termination You may stop using Timelier at any time. Disclaimers and Limitation of Liability Timelier is provided “as is” and “as available.” We disclaim all warranties and are not liable for missed reminders, delivery delays, or other damages arising from use of the Service. To the fullest extent permitted by law, our total liability for any claim related to the Service shall not exceed the amount you paid to us in the past 12 months. 12. Indemnification You agree to indemnify and hold Timelier harmless from any claims, liabilities, damages, and expenses arising from your misuse of the Service or breach of these Terms. 13.
